2. Merchant of Record

Paddle is the Merchant of Record for all Premium orders. This means that:

• Paddle handles the payment processing, tax collection (VAT/Sales Tax), and invoicing.
• When you purchase a subscription, you are technically purchasing it from Paddle, subject to their Terms of Service and Privacy Policy.
• We (Verida Group LLC) act as the service provider, delivering the software functionality and content.

3. Account Registration & Eligibility

To access Premium features, you may be required to register an account using your Google credentials ("Google Login").

3.1. Age Requirements

• Minimum Age: You must be at least 13 years old to use this Service. No one under 13 is allowed to create an account or use the Service.
• Minors (13-17): If you are at least 13 but under the age of 18 (or the legal age of majority in your jurisdiction), you may only use the Service with the consent of your parent or legal guardian. By using the Service, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
• Parental Responsibility: If you are a parent or legal guardian permitting a minor to use the Service, you agree to be bound by these Terms and are fully responsible for the minor's use of the Service, including all financial charges and legal liability that they may incur.

3.2. Account Security & Google Login

• Third-Party Authentication: We use Google Login for authentication. We do not store or manage passwords for your account. You are responsible for maintaining the security of your Google Account.
• Responsibility for Activity: You agree that you are solely responsible for any activity that occurs under your account on the Service.
• Unauthorized Access: If you suspect that your Google Account has been compromised or accessed without authorization, you must secure your Google Account immediately and notify us if you believe your account on our Service has been affected.

4. Subscriptions, Limits, and Refunds

4.1. Premium Subscription

The Service offers a "Premium" monthly subscription plan.

• Usage Limits: The Premium plan grants you 300 briefing projects per month and 5 file uploads per day.
• Billing: Subscription fees are billed automatically on a monthly basis by Paddle.

4.2. Refund Policy

We offer a 14-Day Money-Back Guarantee.

5. Intellectual Property Rights

5.1. Our Intellectual Property

The Service and its original content (excluding User Content), including but not limited to software, design, text, graphics, and logos, are the exclusive property of Verida Group LLC and are protected by intellectual property laws.

The Service is protected by copyright, trademark, and other laws of Georgia and foreign countries. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

5.2. Your Intellectual Property (User Content)

You retain full ownership of all content that you submit to the Service and all content generated for you by the Service.

• Inputs: Any text, data, instructions, or materials you provide to the Service.
• Outputs: Any prompts, text, or other content generated by the Service based on your Inputs.

We do not claim ownership of your Inputs or Outputs.

However, by using the Service, you grant Verida Group LLC a limited, non-exclusive, non-transferable license to process your Inputs solely for the purpose of providing the Service to you.

5.3. Responsibility for Content & Rights

You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit any content to the Service.

You are solely responsible for ensuring that:

• Your Inputs
• The Outputs you generate
• And any use, publication, or distribution of those Outputs

do not violate any applicable laws or infringe upon the rights of any third party, including copyright, trademark, privacy, or publicity rights.

Verida Group LLC does not review, verify, endorse, or assume responsibility for User Content or AI-generated Outputs.

5.4. Platform as a Tool, Not a Publisher

The Service is a neutral technological platform that provides automated prompt-generation and AI-assisted briefing tools. We do not select, curate, or control the content generated through user interaction with the AI.

Any legal responsibility arising from the content you submit, generate, or use rests solely with you, the User.

6. Acceptable Use Policy & Safety Protocols

6.1. Prohibited Activities

You agree not to use the Service:

• Illegal Purpose: In any way that violates any applicable national or international law or regulation.
• Harmful Content: To generate prompts or content that is sexually explicit, hateful, violent, discriminatory, or promotes illegal activities.
• Reverse Engineering: To attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service.
• Botting/Scraping: To use any robot, spider, or other automatic device to access the Service for any purpose, including monitoring or copying any of the material.
• Abuse: To bypass the daily usage limits (e.g., creating multiple accounts) or interfere with the proper working of the Service.

6.2. Safety Protocols & Prohibited Bypass

Our Service is configured to strictly refuse assistance with illegal, violent, or harmful activities. Any detected attempt to "jailbreak" the system, circumvent safety filters, or use adversarial prompting techniques will be treated as a violation of these Terms.

6.3. High-Risk Deployment Restriction

You agree not to use or deploy prompts, configurations, instructions, or outputs generated by the Service in any high-risk, safety-critical, or life-impacting system or decision-making process.

6.4. Consequences of Violation

Violation of any part of this section may result in immediate termination of your account without refund.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

8. Artificial Intelligence Disclaimer

The Service uses advanced Artificial Intelligence to generate content.

• Accuracy: AI systems can occasionally produce incorrect, biased, or misleading information ("hallucinations").
• "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the results obtained from the Service will be accurate or reliable.

8.1. Scope of AI Functionality

The Service is a prompt-generation and intent-structuring tool designed to assist users in communicating more effectively with AI systems. It does not provide professional, legal, medical, financial, or engineering advice.

8.2. User Responsibility for Outputs

You acknowledge that the Service generates outputs based on your inputs and internal processing. These outputs are not verified, endorsed, or guaranteed by Verida Group LLC. You are solely responsible for reviewing, evaluating, modifying, and verifying all AI-generated prompts or content.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Verida Group LLC, nor its affiliates, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability to you for all claims exceed the amount you have paid us in the 12 months preceding the event giving rise to the claim.

10. Privacy Policy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described therein.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions.
